RULES AND REGULATIONS

(“CONTEST RULES”)

1. How to Enter

Caesars Windsor’s Explore Your Inner Vegas (the “Contest”) takes place on August 5, 12, 19 and 26, 2010 (each a “Draw Date” or collectively the “Draw Dates”) beginning at 12:00:00 p.m. Eastern Time (“ET”) and ending at 7:00:00 p.m. ET on each Draw Date (the “Promotion Period”).

Eligible Total Rewards® Members (“Members”) will receive a mailed notice (using the last known address recorded on their Total Rewards account) advising them of the number of free entries (“Base Entries”) (requiring activation as defined below) into the Contest they have qualified to receive on each Draw Date. The number of Base Entries that a Member is eligible to receive is based on his/her recognized tier status defined by Total Rewards as of July 5, 2010. Entries for

each tier are defined below:

Seven Stars Members will be eligible to receive up to 700 entries on each Draw Date;

 Diamond Members will be eligible to receive up to 500 entries on each Draw Date;

 Platinum Members will be eligible to receive up to 200 entries on each Draw Date; and  Gold Members will be eligible to receive up to 100 entries on each Draw Date.

 Members are also eligible to automatically receive additional entries (“Additional Entries”) (requiring activation as defined below) into the Contest for every fifty (50) Base Reward Credits accumulated on the Draw Date by using their Total Rewards card during regular slot/table play between the hours of 12:00:00 p.m. ET and 7:00:00 p.m. ET. Free Entries and Additional Entries are valid only on the Draw Date. The number of Additional Entries that a Member is eligible to earn is based on his/her recognized tier status defined by Total Rewards as of July 5, 2010. Additional Entries for

each tier are defined below:

Seven Stars Members will be eligible to earn up to 1000 entries for every 50 Base Reward  credits earned on each Draw Date;

Diamond Members will be eligible to earn up to 700 entries for every 50 Base Reward credits  earned on each Draw Date;

Platinum Members will be eligible to earn up to 600 entries for every 50 Base Reward credits  earned on each Draw Date; and Gold Members will be eligible to earn up to 500 entries for every 50 Base Reward credits  earned on each Draw Date.

In order to be eligible to win a prize in the Contest, Members must activate Base Entries and Additional Entries on the Draw Date in which they wish to participate between the hours of 12:00:00 p.m. ET and at least sixty (60) minutes prior to the Draw Time (see Rule #2) using one of

the following methods:

a) Swiping their Total Rewards card at a designated Swipe Entry Station; or

b) Presenting their Total Rewards card to a Total Rewards representative at the Total Rewards Centre.

Swipe Entry Stations will be located in Cosmos Lounge on the main floor of the Casino. The location of the Swipe Entry Stations is subject to change at the sole discretion of the Sponsor.

Promotional Bonus Reward Credits earned during Multiplier Days will not count towards a Member’s accumulation of Base Reward Credits for the purposes of gaining entries into the Contest.

Once activated, all entries are automatically entered into the Contest in electronic format. Windsor Casino Limited (the “Sponsor”) takes no responsibility for any errors, defects, delays, destruction or other problems relating to the use of a Member’s Total Rewards card to enter the Contest, whether caused by a technical malfunction of the card reader, computer or otherwise. It is the responsibility of Members to ensure that card readers are operational and that Total Rewards cards are inserted correctly.

2. Prize Draw

On the Draw Dates, at approximately 7:45:00 p.m. ET Draw Time ( “Draw Time”) a Caesars Windsor Representative (“Representative”) will randomly and electronically draw the appropriate number of entries to correspond with the number of prizes available at that Draw Time (see Rule #3). The Representative will then announce the name and Total Rewards account number associated with each selected entry through the public address system at Cosmos stage (the “Draw Site”) at Caesars Windsor (which excludes the hotel towers, Colosseum, parking structure and all areas outside the Casino) and start a timer for three (3) minutes. In order to be eligible to win a prize, selected entrants must also identify themselves within three (3) minutes of their name being announced by attending the Total Rewards Center on the main floor and presenting their Total Rewards card to a Representative.

Selected entrants are eligible to win one (1) prize per Draw Time.

All Draw Times are approximate and may be adjusted at the sole discretion of the Sponsor.

Selected entrants who do not properly identify themselves within the three (3) minute time limit will forfeit their chance to win that prize and that prize will be drawn for again.

It is the responsibility of each participant to hear the announcement over the public address system at the time of the announcement. The public address system cannot be heard in the hotel towers, Colosseum, parking structure or any areas outside of the Casino.





3. Prizes On the August 5, 2010 Draw Date at the Draw Time, five (5) participants will be drawn for a prize package of one trip to Las Vegas to see Celine Dion perform. Trip to include airfare for two from the major commercial airport nearest the Winner’s place of residence to Las Vegas, four days/three nights accommodations at Caesars Place Las Vegas (subject to availability and black out dates). Two (2) show tickets to see Celine Dion perform at Caesars Palace Las Vegas (show dates subject to availability and black out dates). Approximate value of package is Cdn. $2700.00 per package for a total approximate value of Cdn. $13,500.00 for all five (5) packages.

On the August 12, 2010 Draw Date at the Draw Time, three (3) participants will be drawn for a prize of one prize package to Caesars Palace Las Vegas. Trip to include airfare for two from the major commercial airport nearest the Winner’s place of residence to Las Vegas, four days/three nights suite accommodations(subject to availability and black out dates). Spending money value of Cdn. $1000.00 and two passes to Pure nightclub. Approximate value of package is Cdn. $6,000.00 per package for a total approximate value of Cdn. $18,000.00 for all three (3) packages.

On the August 19, 2010 Draw Date at the Draw Time, five (5) participants will be drawn for a prize package of one trip to Las Vegas to see Barry Manilow perform. Trip to include airfare for two from the major commercial airport nearest the Winner’s place of residence to Las Vegas, four days/three nights accommodations at Paris Las Vegas (subject to availability and black out dates). Two (2) show tickets to see Barry Manilow perform at the Paris Hotel in Las Vegas (show dates subject to availability and black out dates). Approximate value of package is Cdn. $2700.00 per package for a total approximate value of Cdn. $13,500.00 for all five (5) packages.

On the August 26, 2010 Draw Date at the Draw Time, five (5) participants will be drawn for a prize of one trip to Las Vegas to see Donny and Marie Osmond perform. Trip to include airfare for two from the major commercial airport nearest the Winner’s place of residence to Las Vegas, four days/three nights accommodations at Flamingo Las Vegas (subject to availability and black out dates). Two (2) show tickets to see Donny and Marie Osmond perform at the Flamingo Las Vegas (show dates subject to availability and black out dates). Approximate value of package is Cdn.

$2700.00 per package for a total approximate value of Cdn. $13,500.00 for all five (5) packages.

Total approximate value of all eighteen (18) packages is Cdn. $58,500.00

Each trip prize package (“Prize Package”) has an approximate total value ranging from Cdn. $2,700 to Cdn. $6,000 based on departure city or alternatively, a cash option of Cdn. $1,500.00 for any prize package won. Actual value of prize will depend on factors such as departure city and date of travel. Winner is not entitled to monetary difference between the actual prize value and cash option offered NOTE: If any selected entrant in the Contest is under the age of twenty-one (21), the entrant cannot accept the Prize Package and must accept the cash option of $1,500.00 Cdn.

4. Prize Claim In order to be eligible to win a prize, the selected entrants must have identified themselves and presented their Total Rewards card at the Draw Site within the three (3) minute time limit described above and further must present valid government-issued photo identification to a Representative at the Draw Site within thirty (30) minutes of having identified themselves.

In order to win a prize in the Contest, each selected entrant must correctly answer, unaided, a timelimited (90 seconds), mathematical, skill testing question.

Selected entrants will also be required to sign a standard Release, including publicity release, confirming compliance with the Contest Rules and acceptance of the prize as awarded and releasing the Sponsor, the Ontario Lottery and Gaming Corporation (the “OLG”), Caesars Windsor, and their respective parent companies, affiliates, subsidiaries, agencies, agents, respective directors, officers, employees, representatives, sponsors, successors and assigns from any and all liability for any loss, harm, damages, claims, costs, causes of action or injury whatsoever including, but not limited to, personal injury, accident or death, property damage, disappointment or inconvenience arising from any act, omission or negligence whatsoever relating to the Contest or the receipt, ownership, possession or use of any prize. This winner will also be required to present and provide a copy of valid photo government-issued identification.

All answers to skill-testing questions are final. The selected entrant must comply with all Contest Rules before being declared a winner and any misrepresentation of fact as to the selected entrant’s eligibility, whether intentional or unintentional, will be sufficient cause to forfeit any prize award.

Should a selected entrant incorrectly answer the skill-testing question, or otherwise fail to comply with all the Contest Rules, the selected entrant will be disqualified from Contest participation and the prize will be forfeited and will not be drawn for again. Prizes that are not claimed in accordance with these Contest Rules will not be awarded.

All trip packages must be booked by contacting a Special Events Supervisor at 1-800-991-7777, Ext.

22741, Ext. 22709 or Ext. 22736. The Special Events Supervisor is available Monday through Friday from 8:30 a.m. ET to 5:00 p.m. ET. Precise travel arrangements are subject to seat and space availability. Hotel reservations must be booked a minimum of thirty (30) days in advance and are subject to availability. All travel arrangements must be booked by September 30, 2010 and the travel period to be from August 1, 2010 to August 1, 2011, with the exception of the Celine Dion packages. Celine Dion packages must be booked by February 1, 2011, and the travel period will be from March 2011 to August 1, 2011. Trip prizes do not include any expenses not explicitly stated as being part of the prize including, but not limited to, meals, gratuities, alcohol, insurance, taxes, international taxes, fuel surcharges, souvenirs, items of a personal nature, ground transportation and local travel, spending money, telephone calls, in–room charges, room service, overnight layovers, travel and health insurance, travel documents and passport. The Sponsor is not responsible for any cancellations, delays, diversions or substitutions or any act or omissions whatsoever by the air carriers, hotels or other transportation companies or any other persons providing any of these services and accommodations necessitated by same. The Sponsor shall not be liable for any loss or damage to luggage.

It is the responsibility of the winner and his/her guest to ensure that they have all the necessary identification documentation (such as a valid passport) and/or medical treatments to permit travel.

The Sponsor is not responsible in the event the winner or his/her guest are refused entry to the destination city or re-entry into Canada or the United States, as applicable, for whatever reason, in which event any unused portion of the prize will be forfeited. If the winner and/or his/her guest are unable or unwilling to accept or otherwise redeem the prize or any part of the prize for any reason on the terms it is awarded, the prize or that portion of the prize shall be forfeited and will not be drawn for again and no cash or substitutes will be provided in whole or in part.

6. All times are approximate and may be adjusted at the sole discretion of the Sponsor.

7. No purchase is necessary to participate in this Contest. If not already a Member, customers may become a member without charge by completing an application at the Total Rewards Centre at Caesars Windsor. Total Rewards Memberships can be cancelled at any time by visiting the Total Rewards Centre at Caesars Windsor.

8. Use of a Total Rewards card by anyone other than the sole member enrolled on the account is strictly prohibited.

9. Prizes must be accepted as awarded and are non-transferable.

10. All prize claim verification information is subject to verification and will be void if not obtained through legitimate channels, or if not original, or if illegible, altered, forged, defaced, mutilated or tampered with in any way, or if not obtained in accordance with these Contest Rules.
